Elmira has assisted various clients in,
- joint ventures, corporate structuring, drafting shareholder agreements, initial public offerings, take-over bids, debt and equity offerings, corporate governance, and public company disclosure and compliance.
- purchase and sale of businesses, and residential and commercial properties, review, drafting, and negotiation of lease contracts and joint ventures.
- application for express entry, business investors category, self-employed category, permanent residency applications, sponsorship applications, study permits, and temporary visas.
Prior to starting her own law firm in Vancouver, Elmira worked as an In-house Legal Counsel at Dundee Corporation, a prominent investment firm in Toronto assisting Senior Legal Counsels and the Corporate Secretary by providing support on preparation and filing of MD&A, Management Information Circular, material change reports and various corporate and commercial transactions and IP related contracts.
Elmira also worked at the Ontario Securities Commission and CIBC Mellon (CST Trust) reviewing, interpreting, and applying securities laws with respect to continuous disclosure filings, shareholder’s offering documentation, including prospectuses, applications for discretionary relief and reviews of and participated in various policy development initiatives and projects related to corporate governance and credit rating agencies.
Elmira holds a J.D. Degree (Law Degree) from University of Ottawa and a Master of Laws (LL.M.) with a specialization in Securities Law from York University, Osgoode Hall. Elmira is called to the Law Society of Upper Canada and British Columbia and is fluent in Farsi and English.
